General Counsel and Company Secretary
JOB PURPOSE:
This role will see you working within the Senior Leadership team and the Board on the delivery of a responsive and professional legal and company secretarial service, ensuring compliance, managing risk, and contributing to the strategic direction of the business within legal frameworks is managed. specializing in commercial and corporate law in Saudi Arabia, interested in making a real impact and difference in the fast-growing port business. Reporting to the Group CFO, CEO and the Board
KEY ACCOUNTABILITIES:
providing accurate and timely legal advice for a wide range of corporate, commercial, financial and legislative requirements.
preparing minutes for all Board and Committee meetings
managing Board and Committee governance matters.
Ability to handle broad Commercial, Corporate, Finance and Construction EPC contracts, Court, and mediation disputes.
Working with one senior lawyer to manage all aspects of Company stakeholders (Shareholders, Board of Directors, Customers, Agents, Concessions, Regulatory Authorities, Lenders etc).
First chair in strategic negotiations with Governmental Authorities and Global Shipping Lines, Banks
Assist with the commercial and legal compliance of various Concessions between the company and customers.
Assist with project finance and EPC milestones between the company and its Lenders. Substantial EPC experience required.
Manage all commercial agreements.
Develop Legal Training across Heads of Dept.
Substantial Board Secretarial experience in various Governance Committees (Audit Committees).
Companies’ representative: Companies’ representative before MCI\ECA
Clarifying ECA and MCI needs and requirements, especially when we handle the General Assemblies of the company and amending the bylaws.
Manage labour claims followed by lawsuits before both,
Labour office; and
Labour court in Jeddah. Dealing with the Labour office and labour court requires a Saudi lawyer.
Commercial Courts: appear before the court.
Manage all external legal services
Minimum Qualifications:
• Bachelor’s degree in law. preferred Master’s degree in law.
Minimum Experience:
• Minimum 15 years of legal PQE gained in a prominent international law firm practising commercial and corporate law with substantial experience in Saudi corporate governance. Ideally at least 5 years of house experience.
• Legal understanding and experience of a Closed Joint Stock Company
Skills
• Substantial PowerPoint experience required
• Fluent in English spoken and written. LL.M educated in UK or USA preferred
